OVERVIEW

Welcome to Karpell. Throughout these Terms of Service, the terms “Karpell”, “we”, “us”, and “our” refer to Karpell and its related entities, operators, successors, and assigns.

Karpell operates this website, online store, associated social media channels, digital content, products, features, tools, and related services (collectively, the “Services”) to provide customers with a premium online shopping experience focused on minimalist lifestyle apparel, comfortwear, and related products.

The Services are hosted and powered by Shopify, which enables us to provide ecommerce functionality, payment integrations, and related infrastructure.

These Terms of Service (“Terms”) govern your access to and use of the Services, including all purchases made through the Services. By accessing, browsing, interacting with, or using any part of the Services, you agree to be legally bound by these Terms, our Privacy Policy, Refund Policy, Shipping Policy, and any other policies referenced herein.

If you do not agree to these Terms, you must immediately discontinue use of the Services.

Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Australian Consumer Law (“ACL”) or any other applicable law that cannot lawfully be excluded, restricted, or modified.


SECTION 1 — ELIGIBILITY, ACCESS AND ACCOUNTS

By using the Services, you represent and warrant that:

  • you are at least 18 years old or otherwise have the legal capacity to enter into binding agreements in your jurisdiction;

  • any information you provide is accurate, current, complete, and not misleading;

  • you will use the Services only for lawful purposes and in accordance with these Terms.

You are responsible for maintaining the confidentiality and security of your account credentials and for all activity conducted through your account.

You must not:

  • impersonate another person or entity;

  • create a false identity;

  • transfer, sell, rent, or assign your account to another person;

  • use the Services in a way that may damage, disable, overburden, or impair the Services.

We reserve the right to suspend, restrict, or terminate accounts at our sole discretion where we reasonably suspect misuse, fraud, unlawful conduct, abuse, or breach of these Terms.


SECTION 2 — PRODUCTS AND PRODUCT INFORMATION

Karpell specialises in premium apparel, loungewear, sleepwear, underwear, lifestyle garments, accessories, and related merchandise.

We make reasonable efforts to ensure product descriptions, images, sizing information, colours, specifications, and availability are accurate. However:

  • colours and appearance may vary depending on device displays and screen settings;

  • garment fit may vary between individuals;

  • measurements and sizing guides are approximate only;

  • product packaging and presentation may change without notice.

To the maximum extent permitted by law, we do not warrant that product imagery or descriptions will perfectly reflect the delivered product.

All products are subject to availability. We reserve the right to discontinue products, limit quantities, refuse orders, or modify pricing at any time without prior notice.

Nothing in this section limits your rights under the ACL, including guarantees relating to acceptable quality, fitness for purpose, and correspondence with description.


SECTION 3 — ORDERS AND ACCEPTANCE

Placing an order constitutes an offer to purchase products from Karpell.

An order is not accepted until:

  • payment has been successfully processed; and

  • Karpell confirms acceptance of the order.

We reserve the right to reject, cancel, limit, or refuse any order at our discretion, including where:

  • products are unavailable;

  • pricing or listing errors occur;

  • fraudulent or suspicious activity is suspected;

  • we reasonably believe the order is for resale, export, or commercial distribution;

  • there has been a breach of these Terms.

If payment has already been processed for a cancelled order, a refund will be issued to the original payment method where required by law.


SECTION 4 — PRICING, PAYMENTS AND BILLING

All prices displayed on the Services are in Australian Dollars (AUD) unless otherwise stated.

Prices may change at any time without notice.

You agree to provide valid and current billing, shipping, and payment information for all purchases.

By submitting payment information, you represent and warrant that:

  • you are authorised to use the payment method provided;

  • all payment information supplied is accurate;

  • charges incurred will be honoured by your financial institution.

We reserve the right to cancel transactions where fraud, unauthorised activity, chargeback abuse, or unlawful conduct is suspected.


SECTION 5 — SHIPPING, DELIVERY AND RISK

Delivery timeframes are estimates only and are not guaranteed.

To the maximum extent permitted by law, Karpell is not liable for delays caused by:

  • shipping carriers;

  • customs processing;

  • weather events;

  • supply chain disruptions;

  • industrial action;

  • force majeure events;

  • inaccurate customer information.

Risk in products passes to you upon delivery to the nominated address or collection point.

Title to products remains with Karpell until full payment has been received.


SECTION 6 — RETURNS, EXCHANGES AND REFUNDS

Returns, exchanges, and refunds are governed by our Refund Policy and the Australian Consumer Law.

Nothing in these Terms excludes consumer guarantees under the ACL.

Where permitted by law, we may refuse returns or exchanges for:

  • change of mind purchases;

  • worn, damaged, washed, or altered garments;

  • hygiene-sensitive products including underwear where unsuitable for return under applicable law;

  • items marked as final sale or clearance.


SECTION 7 — INTELLECTUAL PROPERTY

All content forming part of the Services, including but not limited to:

  • trademarks;

  • logos;

  • branding;

  • product names;

  • garment designs;

  • graphics;

  • photography;

  • videos;

  • text;

  • website design;

  • layout;

  • source code;

  • marketing material;

  • downloadable content,

is owned by or licensed to Karpell and protected under Australian and international intellectual property laws.

You may not reproduce, copy, distribute, exploit, modify, scrape, republish, reverse engineer, or commercially use any content without prior written consent.

“Karpell” and associated branding elements are proprietary trademarks and may not be used without express written permission.


SECTION 8 — WEBSITE ACCESSIBILITY

Karpell is committed to making the Services reasonably accessible and usable for a broad range of users and devices.

However, you acknowledge and agree that:

  • website accessibility may vary depending on device type, browser, operating system, assistive technology, internet connection, and third-party integrations;

  • some features or content may not always be fully accessible or continuously available;

  • temporary interruptions, compatibility limitations, maintenance outages, or technical issues may occur.

To the fullest extent permitted by law:

  • Karpell does not warrant uninterrupted or error-free accessibility of the Services;

  • Karpell does not guarantee compliance with every accessibility standard, guideline, technology, or regional requirement at all times;

  • users accept responsibility for ensuring their own device compatibility and internet access.

Nothing in this section excludes any non-excludable rights under Australian law, including obligations under applicable discrimination legislation where legally required.


SECTION 9 — THIRD-PARTY SERVICES AND LINKS

The Services may contain links, integrations, plugins, tools, or content provided by third parties.

Karpell does not control and is not responsible for:

  • third-party websites;

  • payment providers;

  • shipping providers;

  • advertising networks;

  • embedded software;

  • external content;

  • third-party policies or practices.

Your use of third-party services is entirely at your own risk and subject to those third parties’ terms and conditions.


SECTION 10 — RELATIONSHIP WITH SHOPIFY

Karpell’s ecommerce platform is hosted by Shopify.

All purchases made through the Services are transactions directly between you and Karpell, not Shopify.

To the fullest extent permitted by law, you release Shopify and its affiliates from claims arising from transactions between you and Karpell.


SECTION 11 — USER CONTENT AND FEEDBACK

If you submit reviews, suggestions, feedback, testimonials, images, tags, social content, or other materials (“User Content”), you grant Karpell a perpetual, worldwide, irrevocable, royalty-free, transferable licence to use, reproduce, edit, publish, display, distribute, and promote such content in any media.

You warrant that:

  • you own or have permission to provide the User Content;

  • the User Content does not infringe third-party rights;

  • the User Content is lawful and not misleading.

We reserve the right to remove User Content at our discretion.


SECTION 12 — PROHIBITED USES

You must not use the Services:

  • unlawfully or fraudulently;

  • to infringe intellectual property rights;

  • to distribute malware or harmful code;

  • to scrape or extract data;

  • to interfere with security features;

  • to conduct spam or phishing activities;

  • to harass, threaten, abuse, or defame others;

  • using automated systems, bots, crawlers, or AI agents without written authorisation.

We reserve the right to restrict or terminate access where misuse is suspected.


SECTION 13 — AI AGENTS AND AUTOMATED ACCESS

You must not deploy automated systems, AI agents, scraping tools, bots, or autonomous technologies to access or interact with the Services without prior written consent from Karpell.

Unauthorised automated access may result in:

  • IP blocking;

  • account suspension;

  • legal action;

  • reporting to relevant authorities.

Karpell reserves the right to implement technical measures to detect and prevent automated access.


SECTION 14 — DISCLAIMER OF WARRANTIES

To the maximum extent permitted by law, the Services and all products are provided on an “as is” and “as available” basis.

Except for guarantees that cannot lawfully be excluded under the ACL, Karpell disclaims all warranties, representations, and guarantees, whether express or implied, including:

  • merchantability;

  • fitness for a particular purpose;

  • uninterrupted access;

  • data accuracy;

  • security;

  • compatibility;

  • non-infringement.

You use the Services at your own risk.


SECTION 15 — LIMITATION OF LIABILITY

To the maximum extent permitted by law, Karpell and its directors, employees, contractors, affiliates, licensors, service providers, and partners will not be liable for any:

  • indirect loss;

  • consequential loss;

  • loss of profits;

  • loss of revenue;

  • loss of opportunity;

  • reputational damage;

  • business interruption;

  • loss of data.

Where liability cannot lawfully be excluded under the ACL, Karpell’s liability is limited, at our option, to:

  • replacement of goods;

  • repair of goods;

  • resupply of services; or

  • reimbursement of the cost of replacement or resupply.

Nothing in these Terms excludes liability for:

  • death or personal injury caused by negligence where liability cannot lawfully be excluded;

  • fraud;

  • breaches of non-excludable consumer guarantees under Australian law.


SECTION 16 — INDEMNITY

You agree to indemnify and hold harmless Karpell, Shopify, and related entities against claims, damages, liabilities, losses, costs, and expenses arising from:

  • your breach of these Terms;

  • your misuse of the Services;

  • unlawful conduct by you;

  • infringement of third-party rights by you.


SECTION 17 — FORCE MAJEURE

Karpell is not liable for delay or failure to perform obligations caused by events beyond reasonable control, including:

  • natural disasters;

  • internet outages;

  • cyber attacks;

  • supplier failures;

  • pandemics;

  • government actions;

  • transport disruptions;

  • labour shortages.


SECTION 18 — PRIVACY

Your use of the Services is subject to our Privacy Policy.

By using the Services, you consent to the collection, use, disclosure, and storage of personal information in accordance with applicable Australian privacy laws.


SECTION 19 — TERMINATION

We may suspend or terminate access to the Services immediately where we reasonably believe:

  • these Terms have been breached;

  • unlawful conduct has occurred;

  • fraud or abuse is suspected;

  • security risks arise.

Termination does not affect accrued rights or obligations.


SECTION 20 — GOVERNING LAW

These Terms are governed by the laws of Queensland, Australia and the Commonwealth of Australia.

You submit to the exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia where applicable.


SECTION 21 — SEVERABILITY

If any provision of these Terms is found unlawful or unenforceable, the remaining provisions remain in full force and effect. 


SECTION 22 — NO WAIVER

Failure by Karpell to enforce any right or provision under these Terms does not constitute a waiver of that right or provision.


SECTION 23 — CHANGES TO TERMS

We may amend these Terms at any time by publishing updated Terms on the Services.

Continued use of the Services after updated Terms are published constitutes acceptance of the revised Terms.
